About this role
Overview:
BlackRock is seeking a lawyer in NY to be part of a global in-house team providing legal coverage for trading and markets issues for BlackRock funds and accounts. Coverage by the team involves analyzing and responding to the issues and questions that arise from the trading and market facing activity of BlackRock, including, among other things, equity and fixed income cash trading, OTC derivatives (cleared and uncleared), exchange traded derivatives, prime brokerage, repo, structured notes, securities lending, foreign exchange and digital/crypto assets. The team also covers CLOs and Tender Option Bond programs, as well as the BlackRock registered broker-dealers.
We are seeking a lawyer with the breadth of knowledge and experience to serve as a senior lawyer on the U.S. team. Candidates should have deep understanding of the ’33 Act, ’34 Act, ’40 Act, CEA, bankruptcy/insolvency regimes, and the UCC as applied to the investment and trading activity of a large asset manager such as BlackRock. Ability to issue spot and analyze regulation affecting the covered businesses independently without supervision is critical. Candidates should also be able to lead on complex cash and derivative transaction negotiation and documentation as well.
Candidates must possess strong leadership skills and be able to work independently and effectively within a team environment by collaborating with and supporting others.
Key Job Responsibilities:
This position is part of the U.S. legal team responsible for coverage of BlackRock’s trading and markets activity, and will:
- Analyze new regulation and lead regulatory implementation projects
- Advise investment teams and traders on legal issues impacting the covered business, particularly in relation to derivatives (cleared and uncleared), repo (bilateral and cleared), exchanges & trading platforms and market structure;
- Conduct bankruptcy/insolvency/closeout netting analysis related to covered activity;
- Review and negotiate documentation for complex transactions
- Manage and lead special projects as required.
Skills/Requirements:
- 10 + years of experience as a NY attorney with a law firm or in-house at a financial services company
- Strong leadership skills; management experience desired
- Experience leading regulatory analysis and implementation projects
- Effective communication skills both verbally and in writing
- Solutions oriented, strategic thinker, ability to understand the business needs and partner with the business and other control functions
- Experience with industry standard documentation such as derivatives clearing documentation, the MRA, MSLA, ISDA and related opinions
